She is principal of a management consulting firm specializing in Corporate Finance, Development and Strategy.
She has over seventeen years of industry and consulting experience with over twelve years in wireless and wireline telecommunications. Having worked with a large number of firms (both start-up and mature) in several U.S. and international markets and industries, she has strong knowledge of many business models and competitive economic dynamics. Recently, she assisted a major international industrial concern manage its Chapter 11 restructuring in the U.S. as temporary CEO. In addition, She was Chief Financial Officer of broadband start-up Arrival Communications, Inc. in San Francisco, responsible for leading corporate planning and key funding efforts, building all finance and accounting functions, and developing a successful restructuring plan.

Prior to forming XXX & ASSOCIATES in 1993, Ms. XXX led AirTouch Communications' (formerly PacTel Corporation) U.S. development activities as Managing Director of Corporate Development where she played a key role in formulating PacTel's wireless telecommunications development strategy and implemented acquisitions and joint ventures exceeding $6 billion. Other experience includes strategic management consulting with the value-based management pioneer, Marakon Associates, corporate and international finance with Pacific Telesis Group and Wells Fargo Bank, marketing with Pacific Bell, and venture capital with Peregrine Associates. She has worked in a wide variety of industries including telecommunications, software, retail, manufacturing, utilities, banking, and medical technologies. Her international experience includes such countries as Austria, the United Kingdom, Switzerland, Belgium, Italy, Brazil, Mexico, Chile, Thailand, Australia and China.

She's unique combination of financial, planning, negotiating, valuation, legal and management skills ideally position her to add value quickly in a wide range of projects and interim positions. With offices in San Francisco and Vienna, she is able to assist clients wherever they may be located.

Example consulting projects:
• Acting Head of Corporate and Business Planning for successful European wireless start-up. Activities included license bid preparation, management of development of detailed business plan for operating and financing purposes, and special projects for the board.

• Led project finance teams for three European PCS start-ups, comprising financing of over $2 billion, including Project Finance International Deal of the Year 1998. Activities included project management, term sheet and document negotiation, due diligence management, and info memo development. Managed legal counsel and legal and tax issues including structure of loans, collateral pledge, shareholder contributions, capital structure.

• Implementation of “Total Quality Management” programs (combination of balanced score card and shareholder value approaches) including business unit profitability and value driver analysis, benchmarking, operations improvement, management training, and management reporting feedback loop in natural resources, retail, and software industries.

• Domestic and international acquisition projects for a number of U.S. and international firms seeking investments in cellular, paging, and wireless cable including valuation, negotiation structuring and, due diligence. International projects include Brazil, China, and Australia. Negotiated corporate bylaws for a new company and joint venture agreements.

• Internet/Wireless data: Led Germanic-speaking market development for major wireless portal player. Led development and evaluation of “Freeserve” model ISP strategy for extension to wireless ISP, including detailed industry/economic analysis and business plan for a wireless carrier.

• New business entry strategy for U.S. telecommunications operator seeking to enter the personal communications service (PCS) market including industry and competitive analysis, projections and valuation ranges for spectrum auctions, partnering strategies and structures.

• Marketing and operations improvement strategies for cellular operator. Study included competitive, operational and financial analysis of markets to identify key issues and resulted in specific recommendations to improve operations and enhance value.

She holds an M.B.A. in strategy and finance from UCLA, where she graduated as a Carter Fellow (top 2%), and was an Olin Fellow in economics and a Venture Capital Fellow. She received her B.A. in Economics summa cum laude and phi beta kappa from the University of Colorado, Boulder. She has completed enough accounting course work to sit for the Certified Public Accountant exam in the U.S.
